In these Terms: "Platform" means the Velqora website and API at velqora.com; "Service" means all AI document drafting, analysis, and template features; "User" means any individual or entity accessing the Service; "Subscription" means any paid plan; "Generated Content" means any AI-produced document, draft, or analysis.
2.1 These Terms constitute a legally binding agreement between you and FTFX Tech Solutions (OPC) Private Limited, incorporated under the Companies Act, 2013.
2.2 By clicking "Get Started", creating an account, or using the Service, you unconditionally accept these Terms in their entirety.
2.3 If you access the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
3.1 Velqora is a technology platform that uses artificial intelligence to assist in drafting legal document templates. IT IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE.
3.2 Generated Content is for informational and reference purposes only. It does not constitute, and must not be relied upon as, legal advice, legal opinion, or a substitute for advice from a qualified solicitor or advocate.
3.3 No attorney-client, solicitor-client, or advocate-client relationship is created by your use of the Service.
3.4 You must consult a licensed legal professional before executing any document generated by the platform.
4.1 You must register a valid account to access paid features. You must provide accurate, complete, and current information.
4.2 You are solely responsible for maintaining the confidentiality of your credentials and for all activities under your account.
4.3 You must immediately notify us at legal@velqora.com of any unauthorised use of your account.
4.4 We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
5.1 Paid features are offered on monthly subscription plans processed via Razorpay.
5.2 Subscriptions auto-renew on the same calendar date each month (e.g., subscription on 7th August renews on 7th September). By subscribing, you authorise recurring charges.
5.3 You may cancel your subscription at any time from the Dashboard. Cancellation takes effect at the end of the current billing period; no mid-period refunds are issued.
5.4 All prices are in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise.
6.1 All platform code, design, AI models, templates, and brand assets are the exclusive property of FTFX Tech Solutions (OPC) Private Limited, protected under the Copyright Act, 1957 and relevant IP laws.
6.2 You retain ownership of information you input into the platform. You grant us a limited, non-exclusive licence to process that information solely to provide the Service.
6.3 Generated Content is licensed to you for personal or business use only. You may not resell, sublicense, or commercially redistribute Generated Content as a standalone legal product.
You must not use the Service to:
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
8.1 THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
8.2 THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.3 THE COMPANY MAKES NO WARRANTY THAT GENERATED CONTENT IS LEGALLY ACCURATE, COMPLETE, ENFORCEABLE, OR FIT FOR ANY PARTICULAR PURPOSE.
You agree to indemnify, defend, and hold harmless FTFX Tech Solutions (OPC) Private Limited, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any document you generate, execute, or rely upon via the platform.
10.1 These Terms are governed by and construed in accordance with the laws of India.
10.2 Disputes shall first be attempted to be resolved through good-faith negotiation within 30 days of written notice.
10.3 If unresolved, disputes shall be referred to binding arbitration under the Arbitration & Conciliation Act, 1996. The seat of arbitration shall be [City], India. The language shall be English. The award shall be final and binding.
10.4 For consumer complaints, the courts of [City], India shall have exclusive jurisdiction for matters not subject to arbitration.
We may update these Terms at any time. Material changes will be notified via email or a prominent platform notice at least 15 days before taking effect. Continued use after the effective date constitutes acceptance.
12.1 We may suspend or terminate your access immediately, without notice, for breach of these Terms, non-payment, or if required by law.
12.2 On termination, your right to use the Service ceases immediately. Clauses 6, 8, 9, 10, and 12 survive termination.
